ARTICLE I
Section 1. The name of this Association
shall be the Hungerford Civic Association of Rockville, Maryland,
Inc.
Section 2. The purposes for which
this Association is formed are as follows:
- To advance the interests and welfare of the community of Hungerford and the individuals residing therein.
- To foster within the community a sense of civic pride and responsibility.
- To represent the community interests of the Association before the city, county, and state governments on matters of concern as reflected by the concerns expressed by the membership.
- To sponsor worthwhile community projects and activities in the area of the Association
- To provide a public forum for the presentation of individual ideas and opinions of the membership.
- To serve as a communication link between the residents of the area and promote and enhance that communication, using all available means to that end.
- To support good relationships with neighboring residents and with organizations in the greater Rockville area.
Section 3. No
part of any net earnings of the Association shall inure to the
benefit of, or be distributable to its members, officers, or other
private persons, except that the Association is authorized to pay
reasonable compensation for services rendered and to make payments
and distributions in furtherance of the purposes set forth above.
ARTICLE
II
All residents and property
owners of the Hungerford community over age 18 are automatically
members of this Association.
ARTICLE
III
OFFICERS
Section
1. The Executive Officers of this Association shall be: President,
Vice President, Secretary and Treasurer. Other officers named by the
Executive Officers or by the Association membership may be
established from time to time. The term for an officer is two
years, with re-election to a second term permitted. However, if no
member volunteers to run for any given office, the incumbent may be
asked to remain for an additional term.
Section
2. The Nominating Committee, as provided in Article VI, shall
nominate one or more candidates for each Executive Officer position.
The nominees shall constitute the official ballot and shall be
announced by an official posting at least two weeks in advance the
election, which is to be held during the first membership meeting of
the election year. In addition, the name of any candidate nominated
from the floor at the first membership meeting by a member in good
standing, shall be added to the official ballot.
Section 3.
Executive Officers shall be elected by ballot at the first membership
meeting of the election year. The candidate receiving a majority of
the votes of those present at the meeting for each office shall be
elected. If no candidate has a majority of the votes, a run-off
election shall be held between the two candidates with the greatest
number of votes.
Section 4.
Members who attend the first annual meeting with elections
shall be eligible to vote in the election of Executive Officers,
subject to Article VIII, if applicable. Voting by proxy is not
permitted.
Section
5. The new officers shall be installed by a member of the Nominating
Committee at the conclusion of the election and their term of office
shall begin immediately upon installation.
Section
6. No member shall hold more than one Executive Office at any one
time.
Section
7. When a vacancy occurs in any office, except that of President,
the expired terms of such office shall be filled by appointment by
the President, subject to approval by a majority of the Executive
Committee. When a vacancy occurs in the office of President, the Vice
President shall automatically become the President for the unexpired
term, and his/her replacement appointed by the Executive Committee
from among the membership.
Section
8. The failure of any member of the Executive Committee of the
Association to attend at least two successive meetings of the
Executive Committee of the Association and attend two successive
meetings of the Association shall constitute a vacancy of the
position. Excused absences do not constitute a vacancy of the
position. When a vacancy occurs, Section 7 above shall be followed.
Section 9.
The Executive Committee may, by majority vote, require an officer to
step down from office if deemed no longer able to perform his/her
duties.
ARTICLE
IV
POWERS
AND DUTIES OF EXECUTIVE OFFICERS
Section
1. President. The President of the Association shall preside at all
membership and Executive Committee meetings. He/she shall resolve all
points of order and questions of procedure using Robert’s Rules of
Order whenever practicable and may appoint a Parliamentarian to
assist in their application. The President shall serve as
spokesperson of the Association in any matters in which the
Association wishes to announce a public position, or at any function
at which the Association is to be represented by a spokesperson or
delegate. The President may assign or delegate this responsibility,
in his/her discretion, to any member of the Association. The
President shall appoint Chairpersons of all standing Committees
mentioned in Article VI of these By-laws and may establish special
committees and appoint the Chairperson and members thereof. The
President shall be ex-officio a member of all committees.
Section
2. Vice President. The Vice President shall exercise in the absence
of the President all of the duties and powers of the President. In
the event of the resignation, death or disqualification of the
President, the Vice President shall serve as President of the
Association for the unexpired term.
Section 3.
Secretary. The Secretary shall keep the minutes of all meetings of
the Association and of the Executive Committee and shall keep all
necessary records of the Association. He /she is responsible for
giving notice of membership meetings, minutes of meetings, and
financial reports by posting on the official media.
Section
4. Treasurer. The Treasurer shall keep the financial records of the
Association in accordance with state and federal requirements.
He/she shall sign all checks, purchase orders,
and the like, for expenses approved by the Executive Committee. If
dues are charged, he/she shall collect and
record the payments. He/she shall give a written report on the
financial condition of the Association at each regular membership
meeting, and at all Executive
Committee meetings.
Section 5.
Officers of the Association shall endeavor to ensure that the
Association is in good standing with requirements for civic
Associations in Maryland and that it complies with its By-laws.
ARTICLE
V
EXECUTIVE
COMMITTEE
Section
1. The Executive Committee shall be composed of Executive Officers,
Standing Committee Chairpersons of the Association. The Executive
Committee shall be charged with the management of the business of the
Association and shall consider and act upon such matters as presented
to it. It may exercise the powers and do all things necessary to
conduct the affairs of the Association.
Section
2. Meetings of the Executive Committee may be called by the President
and shall be by him /her at the request of three Executive Committee
members. A majority of the members of the Executive Committee present
at a meeting called for any purpose above shall constitute a quorum.
ARTICLE
VI
COMMITTEES
Section
1. In addition to the Executive Committee, Standing Committees of
this Association may be created by the membership to handle and
manage any specific needs of the Association. The membership shall
approve the existence of the Standing Committee at a regular meeting
of the Association. Special Committees may be formed as the need
arises. All Committees shall be responsible to the President and the
Executive Committee for the performance of their prescribed duties.
Section
2. A Nominating Committee, to manage the process of annual elections
of the Officers of the Association shall be appointed by the
Executive Committee at least two months before the first
meeting of the election year. Service on the Nominating Committee
shall not preclude nomination of the member for
any elective office.
ARTICLE
VII
MEETINGS
Section
1. The regular membership meetings of the Association shall be called
by the President or by a quorum of the Executive Committee. At
a minimum, an annual general meeting will be held each year to review
Association matters, proposed budget, annual financial statement, and
seek membership approval on decisions.
Section 2.
Notice, by an official posting, of the time and place of all
membership meetings shall be given to as many residents as possible
by the Secretary of the Association. Official posting is defined as a
posting on the official web page of the Association, and whenever
feasible, posting on other social media.
Section 3.
Any special membership meeting may be called by the Executive
Committee and shall be called upon the written request of 5
members of the Association. Members shall be notified at least 7 days
in advance of such meeting (unless exigent circumstances exist) and
shall be notified of the purpose of the meeting.
ARTICLE
VIII
DUES
Dues will
only be charged if the Executive Committee votes to do so. Dues
shall cover the period January-December of each year. If dues are
required, only residents who have paid their dues can vote in an
election.
ARTICLE
IX
AMENDMENTS
TO BY-LAWS
These
By-laws may be amended at any regular business meeting of the
Association by a two-thirds vote of the members present. The proposed
amendment shall be posted at least one week prior to the meeting at
which the vote is scheduled. Amendments to the By-laws may be
submitted by any member by notifying the Executive Committee.
The
original provisions of these By-laws were effective upon adoption by
the membership at its membership meeting held on December 5,1997 at
the Elwood Smith Recreational Center. Revisions to these By-laws are
effective upon adoption at the Association’s membership meeting in
January 2019.
ARTICLE
XI
DISSOLUTION
Upon
the dissolution of the Association, assets shall be distributed for
one or more exempt purposes within the meaning of section 501(c)(3)
of the Internal Revenue Code, or the corresponding section of any
future federal tax code, or shall be distributed to the federal
government, or to a state or local government, for a public purpose.
Any such assets not so disposed of shall be disposed of by a Court of
Competent Jurisdiction of the county in which the principal office of
the corporation is then located, exclusively for such purposes or to
such organization or organizations, as said Court shall determine,
which are organized and operated exclusively for such purposes.

ARTICLE II
Membership in this Association is open to every household/residence of the Hungerford neighborhood. Any adult person or persons residing outside the Hungerford neighborhood whose petition for membership is recommended by the executive committee to the membership at a regular meeting of the Association and approved at the next following regular meeting by a majority vote by the members present shall be considered a member of the Association..
- A household/residence becomes a member of the Association by making application for membership to the secretary or any other officer of the Association and paying the annual dues as provided in Article VIII of these by-laws.
ARTICLE III

Section 1. The Executive Officers of this Association shall be a President, Vice President, Secretary and Treasurer. Other officers named by the Association membership may be established from time to time. The term of all these officers shall be for a period of one year, allowing for re-election for equal periods.
Section 2. The Nominating Committee, as provided in Article VI, shall nominate one or more candidates for each Executive office. These nominees, who shall constitute the official ballot, shall be announced if possible at the December membership meeting and by written notice to all members at least two weeks in advance of the date of the election to be held during the month of January of each year. In addition, the name of any candidate nominated from the floor at the January membership meeting by a member in good standing, shall be added to the official ballot.
Section 3. All executive Officers shall be elected by ballot at the January membership meeting. The candidate receiving a majority of the votes of those present at the meeting for each office shall be elected. In the event that no candidate has a majority, a run-off election shall be held between the two candidates having the greatest number of votes at that meeting.
Section 4. Only members of the Association who have paid their annual membership dues at the time of the election and are duly recorded as members shall be eligible to vote in the election of Officers of the Association. Voting by proxy is not permitted.

The President may assign or delegate this responsibility, in his/her discretion, to any member of the Association. The President shall appoint Chairpersons of all standing Committees mentioned in Article VI of these by-laws and may establish special committees and appoint the Chairperson and members thereof . The President shall be ex-officio a member of all committees.

He/ She shall collect dues of the members and shall notify members when dues are in arrears. He/ She shall give a report on the financial condition of the Association at each regular membership meeting and at Executive Committee meetings.

Section 2. Written notice of the time and place of all membership meetings shall be given to all residents by the Secretary of the Association .
Section 3. Any special membership meeting may be called by the Executive Committee and or shall be called upon the written request of 20 percent of the active members of the Association. Members shall be notified at least 24 hours in advance of such meeting, said notice stating the purpose for which the meeting is called.
Section 4. One-fifth of the active membership, which-ever is smaller, shall constitute a quorum at regular and special meetings of the Association.
ARTICLE VIII
DUES
Dues of this Association shall be $10.00 per year, payable at the regular January membership meeting or before. The dues shall cover the period January- December of each year. Any member failing to pay his dues at or before the January meeting shall be not be considered a current member until says a time as the dues have been paid.
ARTICLE IX
PARLIAMENTARY AUTHORITY
The rules contained in Robert’s Rules of Order shall govern the Association in all cases to which they are applicable, and in which they are not inconsistent with the by-laws of the Association.
ARTICLE X
AMENDMENTS TO BY-LAWS
These by-laws may be amended at any regular business meeting of the Association by a two-thirds vote of the members present. The proposed amendment shall be submitted in writing at the previous regular business meeting and circulated to the membership at least one week prior to the meeting at which the vote is scheduled. Amendments to the ByLaws may be submitted by any member of the association for consideration of the membership as above.
ARTICLE XI
The provisions of these by-laws were effective upon adoption by the membership at it’s membership meeting held on December 5,1997 at the Elwood Smith Recreational Center ..
ARTICLE XII
TRANSITIONAL PROVISIONS
The officers of the Corporation elected in January 1998 and those elected thereafter shall serve under these by laws for periods of one year January -December of each year. These by laws replace and void any previous written by laws that may have been made by members and non members in carrying out the goals and objectives of the organization.
